End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and MNRL Logistics LLC ("MNRL Logistics," "we," "our," or "us") governing your access to and use of the MNRL Logistics software application, platform, and any associated services, including integrations with third-party platforms such as QuickBooks Online (collectively, the "Application").
By accessing or using the Application, you agree to be bound by this Agreement. If you do not agree, do not use the Application.
1. Grant of License
Subject to the terms of this Agreement, MNRL Logistics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes in connection with our freight and logistics services.
2. Restrictions
You agree not to:
- Copy, modify, distribute, sell, or sublicense the Application or any portion thereof.
- Reverse engineer, decompile, or disassemble the Application.
- Use the Application for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any systems, networks, or data connected to the Application.
- Use the Application to transmit malicious code, spam, or harmful content.
- Resell, broker, or commercially exploit access to the Application without prior written consent from MNRL Logistics.
- Remove or alter any proprietary notices, labels, or marks on the Application.
3. QuickBooks Integration
The Application may integrate with Intuit QuickBooks Online ("QuickBooks") via Intuit's authorized API platform. By authorizing this integration, you:
- Grant MNRL Logistics permission to access, read, and write data in your QuickBooks account as necessary to provide our services.
- Acknowledge that your use of QuickBooks is also governed by Intuit's Terms of Service and Privacy Policy.
- Represent that you have the authority to authorize this integration on behalf of your business.
- Understand you may revoke access at any time through your Intuit account settings, which will discontinue the integration.
4. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials and any access tokens associated with the Application.
- All activity that occurs under your account.
- Ensuring the accuracy of data you submit through the Application.
- Complying with all applicable laws governing your use of the Application, including data privacy and transportation regulations.
5. Intellectual Property
The Application, including all software, content, trademarks, logos, and documentation, is owned by MNRL Logistics LLC or its licensors and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by MNRL Logistics.
6. Third-Party Services
The Application may interface with third-party services (including but not limited to Intuit QuickBooks, payment processors, and carrier platforms). MNRL Logistics does not control and is not responsible for the availability, content, or practices of third-party services. Your use of any third-party service is subject to that service's own terms and policies.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MNRL LOGISTICS DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MNRL LOGISTICS LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MNRL LOGISTICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless MNRL Logistics LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Application, your violation of this Agreement, or your violation of any applicable law.
10. Term & Termination
This Agreement is effective upon your first use of the Application and remains in effect until terminated. MNRL Logistics may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, your license to use the Application immediately ceases. Provisions that by their nature should survive termination (including Sections 5, 7, 8, 9, and 11) shall survive.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Seminole County, Florida.
12. Modifications
MNRL Logistics reserves the right to modify this Agreement at any time. Updated versions will be posted on our website with a revised effective date. Your continued use of the Application after the posting of any modification constitutes your acceptance of the modified Agreement.
13. Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and MNRL Logistics with respect to the Application and supersedes all prior or contemporaneous agreements, representations, or understandings.
